Change of Legal Representative

To change the legal representative of a business in Vietnam, you need to proceed with the registration procedure for change the contents of a business registration certificate as specified in the Unit 50, No. 01/2021/VND. Here's the detailed guide:

1. records to be prepared

• Notify of change of legal representative (according to specified sample).
• Copy of personal legal document against the new legal representative (ID card/CCCD/passport valid).
• Decided and comments on the change of legal representative:
  • For one member Co., Ltd.: the company owner's discretion.
  • For the Co. Ltd two members or more: the decision and record of the membership council.
  • For joint stock company: Decision and meeting document of the Colla council or management board, depending on whether the changes changes the content of the company's policy.
• Authorise for the nộp Tor (if not the legal representative directly submitted).
• A copy of the legal document of the authorizer (if applicable).
• Notify phone number Update (if business registration certificate does not have this information yet).

• Paging online via country portal for business registration: https://dangkykinhdoanh.gov.vn 

3. processing time

Usually, within 3 working days from the date of receipt of valid records, the business registration office will issue the new business registration certificate. 

4. shipping fee

Enterprise must pay the business registration fees and the cost of business registration content issuance at the time of submitting the records. Fees, charges can be paid directly at the registered business or transfer room. 
Note: 

• The business must inform the changes of its legal representative within 10 days from the date of changes.
• After receiving the new business registration certificate, the business must be announced on the country registration portal for business registration.
